This Sovran Premium Membership Agreement (the "Agreement") is made and entered into by and between the Sovran Private Society with its affiliates ("Sovran") and the individual Sovran Member ("Member"), effective as of the date the Member accepts this Agreement.

This Agreement supplements the Terms of Use Agreement, the Stablecoin Purchase Agreement, the Articles of Association, and the Privacy Policy, which collectively govern the use of Sovran's services. By accepting this Agreement, the Member confirms they have read, understood, and agreed to the Terms of Use Agreement, the Stablecoin Purchase Agreement, the Articles of Association, and the Privacy Policy. By subscribing to Premium Membership, the Member affirms their status as Stans Ut Sui Juris, standing in their natural and sovereign capacity, and consents to the exclusive jurisdiction of the Sovran Private Society. All disputes, obligations, and rights are governed by the laws and traditions of the Sovran Private Society, under the supreme authority of the Court of the People. In the event of any conflict, the terms of this Agreement shall take precedence for matters specific to the Premium Membership.

1. Premium Membership Benefits

Premium Members gain exclusive access to enhanced features and services, including but not limited to:

• Unlimited Transactions
• Virtual Prepaid Mastercard Gift Cards
• Merchant Account with Directory Listing
• Enhanced Staking Bonuses
• Referral Bonuses:
  • Sign-Up Bonus: 50% bonus for new Premium Member sign-ups.
  • Ongoing Bonus: 25% of referred Members’ monthly fees.
• Milestone Bonuses:
  • 10 referrals: $100
  • 50 referrals: $1,000
  • 100 referrals: $2,500
• Referral Code Requirement: Members must use their unique referral code, provided in their Membership dashboard, for any referral to be considered valid.
• Referral Bonus Payments: Referral bonuses will be paid into the Member’s Premium account in Sovran Stablecoin, 30 days after the qualifying transactions have occurred.
• Optional Premium Merchant Membership:
  • Free upgrade for Premium Members
  • 3% fee on incoming transactions
  • Cashback rewards for goods and services

2. Membership Fees and Payment Terms

2.1 Membership Options

The Member will be automatically subscribed to Premium Membership upon sign-up. Fees are deducted directly from the Member's Sovran Stablecoin account until either:

• The Member's balance is insufficient to cover fees, or
• The Member cancels the subscription.

Premium Membership options:

• $99 one-time fee, plus one of the three Membership choices below:
  • $8.95 per month
  • $98.45 per year (1 month free)
  • $187.95 per two years (3 months free)

2.2 Legacy Members

Members who joined before November 1, 2024, and purchased the previous plan may upgrade to Premium Membership without paying the one-time fee.

2.3 Sufficient Funds Requirement and Grace Period

The Member must maintain a sufficient Sovran Stablecoin balance to cover the ongoing Membership fees...

3. Sponsorship Earnings

Premium Member sponsors who refer other Premium Members that upgrade to Premium Merchant Memberships earn 0.25% of the merchant’s processing fees for life on all transactions from the referred Merchant.

4. Virtual Prepaid Mastercard Gift Card

4.1 Card Features

• Spending Limit: Each virtual card has a $1,000 Canadian Dollars (“CAD”) spending limit. After the limit is reached, a new virtual card number will be issued to the Member for every additional $1,000 CAD increment.
• Funding: The card must be loaded with Sovran Stablecoin from the Member’s account balance.
• Card Top-Up Fee: A fee of 1.5% of the loaded amount + $1.50 will be applied to each card load.

4.2 Cardholder Terms

By accepting and using the Mastercard, Members agree to the following:

• The card is non-transferable and must only be used by the Premium Member.
• Members are responsible for ensuring sufficient funds are loaded onto the card before use.
• New card issuance (for every $1,000 CAD increment) is automatic and does not require Member action. However, standard Card Top-Up Fees will apply for each new card issued.
• Lost credentials for accessing the card must be reported immediately. Replacement fees may apply.
• Sovran reserves the right to suspend or revoke the card in cases of misuse, fraud, or violations of this Agreement or the general Mastercard Cardholder Terms.

4.3 Legal and Liability Disclaimer

Sovran is not liable for declined transactions, unauthorized charges, or losses resulting from misuse of the Mastercard...

5. Cancellations and Refunds

5.1 Cancellation of Membership

Members may cancel the Premium Membership at any time. Upon cancellation, the Member’s account will automatically be downgraded to a Basic Membership with limited functionality.

5.2 Refunds

Refunds are not provided for unused periods, including promotions or free trials.

6. Updates and Modifications

The Society reserves the right, at its sole discretion, to modify, add, or remove any terms or conditions in this Agreement without notice or liability to the Member...

7. Acceptance of Terms

By subscribing to the Premium Membership, the Member acknowledges and agrees to the terms outlined herein, as well as the related agreements referenced above.
